1. Who We Are and What We Offer

Wall Street Alpha provides educational coaching and mentorship focused on helping individuals pursue careers in finance. Our Services may include coaching sessions, mentorship, written materials, videos, and related resources.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. No Guarantee of Results

Our Services are educational and informational. We do not guarantee any specific outcome, including but not limited to internships, job offers, interviews, admissions, promotions, income, or career advancement. Your results depend on many factors outside our control, including your own effort, background, timing, and market conditions. Any examples of past results, including our own experience or that of prior clients, are illustrative only and are not a promise that you will achieve the same.

4. Not Financial, Investment, Legal, or Career Advice

Our content is for general educational purposes and does not constitute financial, investment, legal, tax, or professional career advice. We are not a registered investment adviser, broker-dealer, or licensed career counselor. You should consult a qualified professional before making decisions based on our content. You are solely responsible for your own decisions and actions.

5. Purchases and Payment

Prices for the Services are listed on the Site or provided to you directly. Payments are processed through Stripe, and by purchasing you agree to Stripe's applicable terms. You agree to provide accurate and complete payment information and authorize us and Stripe to charge the amount shown for your purchase, including any applicable taxes.

If your program is billed on a recurring basis, you authorize recurring charges until you cancel in accordance with the cancellation terms provided at the time of purchase.

6. Refunds and Cancellations

Please review this section carefully before purchasing. Because our coaching involves the delivery of proprietary materials and dedicated time, refunds are limited as follows:

• You may request a refund within 14 days of your purchase, provided you have not attended more than one coaching session and have not accessed more than 25 percent of any program materials.
• After that period, or once the thresholds above are met, all sales are final and non-refundable.
• Coaching sessions must be cancelled or rescheduled at least 24 hours in advance. Sessions cancelled with less notice, or missed without notice, may be forfeited.

7. Scheduling and Access

Once you purchase, we will provide access to the Services or schedule sessions as described at checkout. You are responsible for attending scheduled sessions and for any equipment or software needed to participate. Missed sessions may be forfeited unless our cancellation policy provides otherwise.

8. Your Responsibilities and Conduct

You agree to use the Services lawfully and to provide accurate information. You agree not to:

• Share, resell, or redistribute our materials without our written permission
• Record sessions without our consent
• Use the Services to harass, defame, or harm others
• Attempt to disrupt or gain unauthorized access to the Site

We may suspend or terminate your access if you violate these Terms.

9. Intellectual Property

All content we provide, including coaching materials, videos, written guides, frameworks, and the Site itself, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable license to use our materials for your own individual learning. You may not copy, distribute, publish, or create derivative works from our materials without our written permission.

10. Confidentiality

Coaching may involve sharing personal information. We will treat information you share with reasonable confidentiality as described in our Privacy Policy. You likewise agree to keep confidential any proprietary methods or materials we share with you.

11. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, Wall Street Alpha, LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, income, opportunities, or data, arising out of or related to your use of the Site or Services. Our total liability for any claim arising out of or related to the Services will not exceed the amount you paid us for the Services in the three months before the claim arose.

13. Indemnification

You agree to indemnify and hold harmless Wall Street Alpha, LLC and its owners, employees, and contractors from any claims, damages, losses, or expenses, including reasonable attorneys' fees, arising from your use of the Services or your violation of these Terms.

14. Third-Party Services

The Services rely on third parties such as Stripe and email and video providers. We are not responsible for the acts, omissions, or availability of those third parties.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in the State of Delaware, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site or Services after changes take effect means you accept the updated Terms.
